New clarification added: Dear UNOPS representative, In the document "RFP_Section_III_Returnable Bidding Forms (Financial Envelope)" the following is mentioned: The Financial Proposal must be filled in in both Tables 1 and 2 below (for which the total amount should match), including provision of a detailed cost breakdown. Can you elaborate more on what is expected with the detailed cost breakdown? In Table 1 we assume to calculate for each item number the lump sum based on the mentioned payment percentage. So for example for item 1. we take 10% of the total lump sum amount. Can you confirm this is correct? For Table 2, can you elaborate the detail level that is expected? For example a distinction between local / international staff and between junior/senior level staff, etc? Do you have other expectations of the cost breakdown, for example a detailed breakdown of the cost for each component? ANSWERTable 1 is for lumpsum based on mentioned payment percentage and also the deliverable/outputTable 2 is for personnel cost (a unit price/daily rate) for each position and also for non-personnel cost (lump sum) for the items / services required from the contractor

Noting that the JV might have a different answer of each form. The same case of the excel questionnaire, do we need to upload two files of questionnaire for JV?For the Form B, the signature part indicates only one offeror, do we need to adjust to two signature in case of JV?ANSWEROnly the leading partner need to fill in the DRiVE Supplier QuestionnaireNo, the JV partners need to sign the Form A: Joint Venture Partner Information Form. But the rest form needs to signed by the Leading Partner who submitted the proposal

New clarification added: Dear UNOPS representative,In the General Conditions clause 16.2 (Arbitration), no applicable law is mentioned. This contract requires specification of an applicable law to prevent delays and unnecessary expenses to determine it afterwards in case of a dispute. ‘General Principles of international commercial law’ isn’t specific enough. We suggest applying arbitration according UNCITRAL with the applicable law of Singapore or Indonesia. Please advice the applicable law UNOPS desires.ANSWERIt is not possible for UNOPS to negotiate with bidders the general conditions of contracts at this stage. If you cannot agree to this condition of contract, please indicate the proposed change. Please do not take this as UNOPS agreeing by default to the bidder's proposed modification

New clarification added: Dear UNOPS representative,In the General Conditions clause 5.3 and 5.4 (Idemnification), includes taking over a claim to UNOPS. We consider that this is not proportional to this project scope nor - value. Can you confirm whether articles 5.3 & 5.4 can be waived in this project contract?ANSWERThe arbitration according to UNCITRAL is already referenced in the General Conditions of Contract, and as the UN we cannot cite any local law (Singapore or Indonesia, or any other local law for that matter). The dispute resolution clause stated in UNOPS general conditions of contract is phrased based on what can be applied by UNOPS as a UN organization

New clarification added: We note that the clarification response item 6, published 2022-12-19, and updated RfP section XVI.C.34 suggests a minimum required experience of 10 years in onshore wind for the Team Leader (amending the typo referencing offshore wind), while in the right-hand ‘Marking’ column 10 years of ‘related experience’ is also required to obtain full marks (whereas 3+ points can be obtained with lesser experience), which appears to remain an inconsistency. By contrast section XV.B.1.b of the RfP states 5 years minimum required experience in onshore wind for the team leader. Can we assume that section XV.B.1.b of the original RfP is correct? For ‘related experience’ of the Team Leader under section XVI.C.34 of the RfP, please can we confirm that experience relevant to all scope tasks would be eligible [including on site assessment, government stakeholder engagement, power development roadmaps, permitting regimes, power sector investment assessment], where clearly relevant to successful development of clean energy projects – and that not all of this 10 years of experience needs to be in wind power specifically to score maximum points, providing also that the requirement in section XV.B.1.b of the RfP for 5 years minimum experience in onshore wind for the team leader is met (noting the first Indonesian wind farm began construction in 2017, six years ago).ANSWERThe team leader should have 10 years experience in a related field. Scoring will be based on the relevance of the experience to this project.

New clarification added: QUESTIONIn the General Conditions clause 6.3 and 6.5 (Insurance and Liability), conditions are defined for the Contractor's insurance. This will require for the Contractor to ammend its insurance policies. Considering the nature and size of the Assignment, we believe it is not so proportionate to request this from the Contractor. Can this clause be amended accordingly? In the General Conditions clause 5 Idemnification, the liability for the Contractor is unlimited. Considering the nature and size of the Assignment, is it possible to include a (negotiable) cap on the Contractor's liability?ANSWERIt is not possible for UNOPS to set the liability cap, and it is not possible for UNOPS to negotiate with bidders the general conditions of contracts at this stage. If you cannot agree to this condition of contract, please indicate the proposed change. Please do not take this as UNOPS agreeing by default to the bidder's proposed modification

New clarification added: 1.For the Team Leader, please can clarify whether related expereince qualification related to wind devlopment or including all type of renewable energy technology?2.Refer to above question, can the team leader be in the country for 3 month during KoM? Can we rather maintain senior position full time in Indonesia, after team leader relocates to his/her host country?ANSWER 1. Experience in wind development is necessary. Specific expertise in other RE is not essential.2. A strong Senior Position needs to be located in country, ideally the Team Leader, but considerations can be given other team members.

New clarification added: Dear sir/madam,Are we allowed to submit Form D: Technical Proposal Form in our own format (as long as we follow the Sections 1-3 and undersigning form the UNOPS's format)? When we incorporate our text in the original format we face diffuculties with the readibility of the proposal. We hope you can acknolwedge this. Thank you in advance. Best regards. ANSWERNo, bidders are not allowed to use their own format. The returnable forms are developed aligned with how each of the component of the proposals would be evaluated by the evaluation panel, and allowing bidders to submit using their own format will make it difficult to ensure each of the components are assessed the same way between one bidder and another. Hence, please use the format as is.

New clarification added: Dear sir/madam,We think two textual errors are present in Section II:- Under article 33, section 3: the total points for section we believe should be 25 instead of 20. - Under article 34 is stated: At least 10-years experience in offshore wind development, permitting, licensing of investments and offshore wind development surveys and related topics. We assume this should be onshore wind considering the topic of this assignment? Can you please clarify whether text adjustment is in place? Thank you in advance. New clarification added: Dear sir/madam,In Section II article 11 is stated: The study will cover site selection (based on the potential sites stated on PLN Electricity Business Plan/RUPTL focusing in Jamali system (Sukabumi, Yogyakarta, and Tuban) and Sumatera system (Aceh Besar and Padang Sidempuan), de-risk projects sufficiently to allow subsequent feasibility studies to be conducted and prepare an action plan to develop wind energy generation, focusing on the on-shore developments, in the regions of high potential across Indonesia.And in article 20 is stated: Completion of component 3 will result in wind profile assessment to provide the justification for defining the specific site areas, project next steps and a highlighting of the gap in available data. This includes the wind turbine and balance of plant, substation, interconnection, roads and access....a. The output will be the determination of suitable sites that would lead to techno-economically feasible wind projects, as well as a gap analysis highlighting the further studies needed before they are considered derisked.Can you clarify UNOPS's expectation of the "site selection". Based on the RUPTL and the mentioned systems (Jamali and Sumatra) we have found 11 sites allocated by PLN for PLTB. Can you confirm this ammount?Can you also explain the expectations from UNOPS regarding the "defining the specific site areas" and "determination of suitable sites"? Should the Consult narrow the 11 sites down to only the suitable sites (based on which criteria?) or within the 11 sites should the Consultant select sub-sites with the highest potential, or any other expectation?Thank you in advance for the clarification. Best regards.ANSWERThe assumptions of the consultant is correct. Several sites have already been highlighted by the Government of Indonesia as suitable for Wind power development. We are seeking a stocktake of such, and elliciting the best sites for development.

New clarification added: Dear sir/madam,In Section II article 8 is stated: ETP conducted a Wind Technical Working Group (TWG) in February 2022. The TWG brought together the public and private sector to explore the current state of play with regards to the Indonesian wind power sector.Furthermore, article 16 states: The consultant will set up, manage and convene a Wind Power Technical Working Group (TWG) bringing together all key stakeholders relevant to wind power development. The TWG will be under the guidance of the Government of Indonesia, and will seek to integrate with other coordination platforms such as FIRE.Can UNOPS please clarify a bit more what is expected from the Consultant for this? Is the actual working group already gathered/formalized during the meeting in February 2022 and therefore it is up to the Consultant to only organize the working group meetings (in accordance with article 16 a -d). Or does UNOPS expect from the Consultant to form a new working group / expand the existing working group?Thank you in advance for the clarification. Best regards.ANSWERETP will work with the consultant in guiding the set-up of a TWG. Whilst ETP held a TWG meeting, this was not formalised and we need to build on this. We have the strating points for such a TWG (eg mailing lists, outputs from the TWG) which we will hand over to the consultant. The requirement here is that the consultant will send out invites, agenda, convene the TWG and produce outputs (MoM) and follow up with particiapnts. We may incorporate this TWG into a pre-existing platfrom, such as FIRE, where the Wind TWG will create a new work strea,. We have discussed such with FIRE and we once again disucss once our consultants are in place.

Based on Section II article 18.1 we understand that UNOPS is exempt from all direct taxes. Does this mean that the Consultant cannot invoice VAT and therefore should incorporate this already in the Lump Sum ammount? Thank you in advance for the clarification. Best regards. ANSWERUNOPS is the contracting party from UNOPS' side, particularly UNOPS Thailand Multi Country Ofice which is based in Bangkok, Thailand.Yes, All proposals shall be submitted inclusive of any direct taxes (customs duties and indirect taxes, such as sales taxes, VAT, taxes on commodities such as fuel).

New clarification added: Dear sir/madam,Under Section II, article 20 is stated: Wind profile assessment: Compile all available wind resource data currently available and determine the scope required for further studies. The collected wind data is to be correlated with long-term off-site wind data sources (with the annual minimum average wind speed of 6 m/s), and an estimate of the probable average annual energy produced by a wind project.Is the expectation of UNOPS that the Consultant within the 15 month assignment will conduct already (short-term) wind measurement to collect wind data? Or just compile openly available wind data (e.g. satellite data)? It is in our view that in case IPPs are already doing wind measurements in the region, it is not likely that they are willing to share any of the gathered wind data. AnswerThe consultant is not required to install any physical metmasts or other equipment, but to compile available data.With the case of the IPPS we have not secured access to this data but would be willing to support the consultants in obtaining such, though acknowledge it may be difficult to obtain data from IPPs where they have no obligation to share.
